1. Acceptance of Terms
By accessing or using Praxia ("Service"), operated by Praxia HQ, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Google Ads API Usage
Praxia uses the Google Ads API to create, manage, and optimize Search and Display campaigns on your behalf. You authorize Praxia to access your Google Ads account for campaign management purposes. All advertising costs are billed directly by Google to your connected account. Praxia does not collect, hold, or process your advertising payments. You remain responsible for all ad spend, billing disputes, and compliance with Google Ads policies.
3. Use of the Service
Praxia provides AI-assisted marketing tools. You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for any content you submit and for activity on your account.
4. Accounts
You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all actions taken under your account.
5. Subscriptions and Billing
Paid plans are billed in advance on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law. Where ad spend is consolidated through Praxia, clients authorize Praxia to charge their payment method on file for actual ad spend incurred in the previous billing period. Ad spend invoices are separate from subscription fees and reflect actual Google Ads charges.
6. Intellectual Property
Praxia and its content (excluding user-submitted content) are owned by Praxia HQ and protected by intellectual property laws. You retain ownership of the content you submit, and grant us a license to use it solely to operate and improve the Service.
7. AI-Generated Output
Praxia uses AI to generate marketing strategy, copy, and recommendations. Output is provided as-is and you are responsible for reviewing it before publication or use.
8. Termination
We may suspend or terminate access for violation of these Terms. You may stop using the Service at any time.
9. Disclaimers
The Service is provided "as is" without warranty of any kind. To the fullest extent permitted by law, we disclaim all implied warranties.
10. Limitation of Liability
To the maximum extent permitted by law, Praxia HQ will not be liable for indirect, incidental, or consequential damages arising from your use of the Service.
11. Changes
We may update these Terms from time to time. Material changes will be communicated via the Service or email.
